Fair to who? You? Can't very well say what is fair to you.
If you need a good tractor, and want one, and have $12,000 to spend, then that is fair IMO.
He might think this is 'unfair'. Do you want to keep him as a friend? If you buy it and have trouble with it, will your friend stay your friend (assuming your co-worker is your friend here).

You haven't given us much to work from.
How many hours does it have on it?
What kind of condition?
What transmission?
Any accesories, mower, bush hog, etc?
What type of tires does it have?
Will you be happy with a 2 wheel drive tractor? If that is all you need then it is fine. It just depends on what you will use the tractor for.

My co-worker is my boss in this situation. He bought the tractor new in 2000 along with a 6' disk, a 5' bush hog and a 6' leveling blade.
He did the work to the property and then parked the equipment in his shed. I bought the disk from him and inquired about the tractor. He said that he didn't realy know what it was all worth and that I should look it up and make him an offer if I was interested.
I didn't get a chnace to look at the hour meter but the tractor has been hardly used and seems to be in great condition. It has ag tires and four weights on the front rack. It doesn't have any extras besides that.
